Terms and Conditions
These Terms and Conditions ("Terms") govern access to and use of the Barjeel AI website, platform, application, casework tools, document libraries, AI assistant, intelligence tools, and related services. The Services are operated by Barjeel Management Consulting L.L.C. By accessing, registering for, subscribing to, inviting users to, uploading content to, or using the Services, you agree to these Terms.
1. Acceptance of Terms
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization. If you do not agree to these Terms, you must not access or use the Services.
2. Definitions
"Account" means a user account created to access the Services. "Customer" means the organization or person that purchases, subscribes to, is invited to, or otherwise uses the Services. "Customer Content" has the meaning given in the Privacy Policy and includes content submitted, uploaded, entered, saved, analyzed, or generated through a user account or workspace. "Output" means AI-generated content, search results, reports, findings, summaries, drafts, analyses, graphs, timelines, or other materials produced by or through the Services. "Workspace" means an organization, project, case, matter, library, or other environment within the Services.
3. Description of Services
Barjeel AI is a corporate casework, advisory, and intelligence workspace. The Services may include project and case management, document libraries, evidence organization, notes, timelines, AI-assisted drafting and analysis, internal retrieval, external research, hybrid research, intelligence lookup, database lookup, exposure review, link analysis, entity resolution, reporting, export tools, and related professional workflow features.
We may add, modify, suspend, limit, rename, replace, or discontinue any feature, tool, integration, model, data source, provider, interface, or functionality at any time. Feature availability may vary by subscription, workspace, user role, region, technical status, legal restriction, provider availability, or internal approval.
4. Accounts, Access, and Administrators
You must provide accurate account information and keep it up to date. You are responsible for maintaining the confidentiality of passwords, authentication methods, devices, recovery methods, and account credentials. You are responsible for all activity under your account unless caused solely by Barjeel misconduct.
Organizations are responsible for managing users, permissions, access levels, workspace invitations, client access, case access, and administrator rights. Barjeel may rely on instructions from account owners, organization administrators, project owners, and authorized users. You must promptly notify Barjeel if you suspect unauthorized access, compromise, misuse, or security incident involving the Services.
5. Customer Content and User Responsibility
As between you and Barjeel, you retain ownership of Customer Content that you own. You grant Barjeel and its service providers a worldwide, non-exclusive, royalty-free license to host, process, transmit, store, reproduce, analyze, modify, display, generate outputs from, and otherwise use Customer Content as necessary to provide, secure, support, improve, enforce, and operate the Services and as otherwise permitted by these Terms and the Privacy Policy.
You are solely responsible for Customer Content and for all decisions, actions, omissions, reliance, disclosures, reports, exports, or deliverables arising from your use of the Services. You represent and warrant that you have all rights, authority, consents, licenses, legal bases, notices, and permissions required to submit, process, analyze, store, search, export, and use Customer Content through the Services.
You must not submit Customer Content that is unlawful, infringing, defamatory, deceptive, abusive, harmful, malicious, unauthorized, illegally obtained, or in violation of privacy, confidentiality, professional, contractual, employment, court, or regulatory obligations.
6. Cases, Evidence, Libraries, and Records
The Services may allow users to organize information into cases, projects, matters, libraries, timelines, evidence entries, and deliverables. These features are provided as workflow tools and are not a guarantee of legal admissibility, evidentiary authenticity, chain of custody, forensic integrity, audit sufficiency, or regulatory compliance.
Unless expressly agreed in a separate written agreement signed by Barjeel, Barjeel does not provide forensic evidence preservation, expert witness services, regulated legal recordkeeping, e-discovery hosting, litigation hold management, or legally certified chain-of-custody services.
Users are responsible for preserving originals, maintaining independent backups, verifying evidence, documenting collection methods, complying with applicable procedural rules, and obtaining professional advice where case materials may be used in legal, regulatory, employment, disciplinary, or contractual proceedings.
7. AI Features, Internal Mode, External Mode, and Hybrid Mode
AI features are tools for assistance, productivity, research, drafting, retrieval, and analysis. AI systems can generate inaccurate, incomplete, biased, outdated, inconsistent, fabricated, or unsuitable Outputs. Barjeel does not warrant that any AI Output is accurate, complete, reliable, lawful, original, non-infringing, admissible, confidential, privileged, or appropriate for any purpose.
Internal mode is intended to use relevant internal workspace or case data available to the user. External mode is intended to use external or public-source data available through enabled tools. Hybrid mode is intended to combine both types of context. These modes guide system behavior but do not eliminate the need for professional review, source verification, and independent judgment.
You must review, verify, and approve all Outputs before relying on them, sharing them, submitting them, making decisions, advising clients, taking action, or using them in professional, legal, financial, investment, employment, security, regulatory, public, or reputational contexts.
8. Intelligence Tools
The Services may include intelligence tools such as Live Intelligence, Historical Intelligence, open-source intelligence lookup, database lookup, exposure review, public-source search, entity resolution, link analysis, relationship graphing, and related features. Certain intelligence capabilities may be powered or supported by third-party data, tooling, and infrastructure providers engaged by Barjeel.
Intelligence results may be derived from public sources, licensed sources, indexed sources, historical records, archived datasets, user-provided inputs, third-party databases, automated matching, probabilistic algorithms, or other external systems. Results may be incomplete, inaccurate, outdated, duplicated, misattributed, unavailable, or legally restricted. Barjeel does not guarantee the availability, accuracy, legality, or completeness of intelligence sources or results.
Users must not use intelligence tools to engage in unlawful surveillance, harassment, stalking, doxxing, intimidation, credential abuse, unauthorized access, discrimination, extortion, defamation, unlawful employment screening, unlawful credit or insurance decisions, unlawful law enforcement activity, or any activity that violates applicable laws or rights of others.
9. Acceptable Use
You must use the Services only for lawful, authorized, professional, and appropriate purposes. You must not:
- Violate any law, regulation, court order, contractual duty, privacy obligation, professional duty, intellectual property right, or rights of any person.
- Upload, search, process, or export information without lawful authority or legitimate professional reason.
- Use the Services to identify, target, track, profile, harass, intimidate, exploit, blackmail, defame, or harm any person.
- Use the Services for unauthorized investigations, unlawful surveillance, private spying, stalking, doxxing, or publishing personal information without a lawful basis.
- Use breach, exposure, credential, or database information to access accounts, compromise systems, attempt logins, reset passwords, bypass security, or facilitate cyber abuse.
- Submit malware, malicious code, exploit payloads, credential stuffing lists, unauthorized secrets, stolen data, illegal content, or content that materially increases security risk.
- Interfere with, disrupt, overload, reverse engineer, scrape, copy, resell, bypass, or misuse the Services or related systems.
- Use Outputs as a sole basis for legal, financial, medical, employment, housing, insurance, credit, immigration, security, disciplinary, or other high-impact decisions without appropriate human review and lawful authority.
- Misrepresent Outputs as independently verified, professionally certified, legally conclusive, or produced by Barjeel consultants unless expressly approved in writing by Barjeel.
- Remove notices, watermarks, source labels, disclaimers, audit indicators, or attribution attached to Outputs or intelligence results.
Barjeel may investigate suspected misuse and may suspend, restrict, or terminate access without liability where it reasonably believes these Terms have been violated or where continued access may create risk to Barjeel, customers, users, third parties, sources, providers, or the public.
10. Fees, Subscriptions, and Taxes
Fees, subscription plans, usage limits, credits, billing cycles, payment terms, implementation fees, consulting fees, and renewal terms may be set out on the website, order form, invoice, proposal, service agreement, or other written arrangement. Unless expressly stated otherwise, fees are non-cancellable and non-refundable to the maximum extent permitted by law.
You are responsible for all taxes, duties, levies, bank charges, foreign exchange fees, payment provider fees, and similar charges associated with your purchase or use of the Services, excluding taxes based on Barjeel income. Barjeel may suspend or limit access for non-payment, chargebacks, payment failures, suspected fraud, or breach of payment terms.
11. Intellectual Property
The Services, software, interfaces, designs, workflows, prompts, systems, models, methodologies, templates, report structures, databases, source code, branding, trademarks, trade names, documentation, know-how, and all related intellectual property are owned by Barjeel, its licensors, affiliates, or providers. Except for the limited right to use the Services according to these Terms, no rights are transferred to you.
You must not copy, modify, create derivative works from, reverse engineer, decompile, resell, sublicense, rent, lend, benchmark publicly, scrape, extract, train competing systems from, or otherwise exploit the Services except as expressly permitted in writing by Barjeel.
If you provide ideas, suggestions, feedback, feature requests, improvements, or recommendations, you grant Barjeel an unrestricted, perpetual, irrevocable, worldwide, royalty-free right to use, modify, commercialize, and incorporate them without compensation or obligation to you.
12. Outputs and Reliance
Subject to your compliance with these Terms, and as between you and Barjeel, you may use Outputs generated for you by the Services for your lawful internal business purposes. You are responsible for reviewing and verifying Outputs before use. Outputs may not be unique and similar or identical outputs may be generated for other users.
Barjeel does not endorse, verify, certify, approve, or assume responsibility for Outputs unless Barjeel expressly issues a separate signed professional deliverable under a written consulting engagement. AI-generated or platform-generated materials are draft assistance unless expressly stated otherwise in writing by Barjeel.
13. Confidentiality
Each party may receive confidential information from the other party. The receiving party will use reasonable care to protect confidential information and will use it only for purposes related to the Services, except where disclosure is authorized by the disclosing party, required by law, necessary to provide the Services, permitted by these Terms, or already lawfully known or independently developed.
Barjeel may process Customer Content through service providers and technical systems as described in these Terms and the Privacy Policy. Users must not upload information to the Services if doing so would breach confidentiality obligations, privilege, non-disclosure agreements, court orders, employment duties, client duties, or professional rules.
14. Third-Party Services and Providers
The Services may depend on or integrate with third-party services, providers, models, APIs, databases, search tools, hosting services, storage services, payment services, analytics tools, security tools, authentication tools, communications tools, and public or licensed sources. Barjeel does not control all third-party systems and is not responsible for third-party acts, omissions, outages, inaccuracies, policies, data retention, changes, restrictions, or failures.
Your use of third-party integrations or external services may be subject to separate terms and privacy policies. Barjeel may replace, disable, or modify providers or integrations at any time without liability.
15. Service Availability and Changes
The Services may be unavailable, delayed, degraded, interrupted, modified, or discontinued due to maintenance, upgrades, outages, provider failures, rate limits, security events, legal restrictions, source availability, abuse prevention, or circumstances beyond our control. Barjeel does not guarantee uninterrupted, error-free, or continuous availability.
16. Suspension and Termination
Barjeel may suspend, restrict, or terminate access to all or part of the Services immediately and without liability if Barjeel reasonably believes that: you breached these Terms; payment is overdue; your account is compromised; your use creates legal, security, reputational, operational, or third-party risk; continued access may violate law or provider requirements; or suspension is necessary to protect the Services, Barjeel, customers, users, providers, sources, or the public.
Upon termination, your right to access the Services ends. We may delete, retain, export, or restrict Customer Content in accordance with the Privacy Policy, applicable law, contract terms, backup practices, dispute needs, security needs, and operational requirements. You are responsible for exporting any necessary content before termination where export functionality is available.
17. Disclaimers
To the maximum extent permitted by law, the Services, Outputs, intelligence results, data sources, AI features, software, website, documentation, and all related materials are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise.
Barjeel disclaims all warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, reliability, availability, security, confidentiality, source availability, uninterrupted use, error-free operation, legal compliance, professional adequacy, evidentiary admissibility, and suitability for any particular decision, case, investigation, report, client deliverable, or legal proceeding.
You acknowledge that AI and intelligence tools are probabilistic, source-dependent, provider-dependent, and subject to limitations. Barjeel is not liable for hallucinations, omissions, incorrect classifications, outdated sources, unavailable sources, misattribution, false positives, false negatives, incomplete records, duplicate records, source errors, model errors, prompt errors, user interpretation, or reliance on Outputs.
18. Limitation of Liability
To the maximum extent permitted by law, Barjeel, its affiliates, related entities, officers, directors, shareholders, employees, consultants, contractors, licensors, suppliers, providers, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, enhanced, or similar damages, or for any loss of profits, revenue, goodwill, reputation, business opportunity, contracts, savings, data, use, security, confidentiality, or business interruption, even if advised of the possibility of such damages.
To the maximum extent permitted by law, the total aggregate liability of Barjeel and its related parties for all claims arising out of or relating to the Services, these Terms, the Privacy Policy, Outputs, Customer Content, intelligence results, or any related matter will not exceed the greater of AED 1,000 or the amount actually paid by the customer to Barjeel for the Services giving rise to the claim during the three months immediately before the event giving rise to liability.
The limitations apply regardless of the legal theory, whether contract, tort, negligence, strict liability, misrepresentation, warranty, statute, equity, or otherwise. Multiple claims will not increase the liability cap. Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.
19. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Barjeel, its affiliates, related entities, officers, directors, shareholders, employees, consultants, contractors, licensors, suppliers, providers, and agents from and against all claims, demands, actions, proceedings, investigations, damages, losses, liabilities, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or relating to:
- Your access to or use of the Services.
- Your Customer Content, prompts, searches, instructions, uploads, exports, reports, deliverables, or use of Outputs.
- Your breach of these Terms, the Privacy Policy, the Legal Disclaimer, or any applicable policy.
- Your violation of law, regulation, court order, privacy right, intellectual property right, confidentiality duty, professional duty, contractual duty, employment duty, or rights of any person or organization.
- Your use of intelligence tools, public-source data, database data, exposure data, link analysis, or entity resolution results.
- Any decision, action, omission, reliance, publication, submission, advice, client deliverable, investigation, or proceeding based on or related to the Services.
- Any dispute between you and your clients, users, employees, contractors, collaborators, organization, administrators, targets, subjects, data subjects, counterparties, or third parties.
Barjeel may control the defense and settlement of any indemnified matter at your expense. You must cooperate fully and must not settle any matter in a way that imposes obligations or admissions on Barjeel without Barjeel prior written consent.
20. Governing Law and Dispute Resolution
These Terms and any dispute, claim, or controversy arising out of or relating to the Services, Privacy Policy, Legal Disclaimer, Customer Content, Outputs, or any related matter are governed by the laws of the United Arab Emirates as applied in Dubai, without regard to conflict-of-law rules.
The courts of Dubai, United Arab Emirates, shall have exclusive jurisdiction over disputes, except that Barjeel may seek injunctive, equitable, protective, debt recovery, intellectual property, confidentiality, or urgent relief in any competent court or forum where Barjeel considers it necessary to protect its rights, users, sources, systems, confidential information, intellectual property, or business interests.
Before bringing a formal claim, the parties will use reasonable efforts to resolve the dispute informally by written notice and good-faith discussion for 30 days, unless urgent relief is required.
21. Export, Sanctions, and Restricted Users
You must comply with applicable export control, sanctions, anti-money laundering, anti-bribery, anti-corruption, counter-terrorism financing, and similar laws. You must not use the Services if you are prohibited from doing so under applicable law, sanctions, or restrictions, or if your use would expose Barjeel to legal, regulatory, or provider risk.
22. Changes to Terms
Barjeel may update these Terms from time to time. Updated Terms become effective when posted or otherwise notified, unless a later effective date is stated. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms to the maximum extent permitted by law.
23. Miscellaneous
These Terms, together with the Privacy Policy, Legal Disclaimer, Acceptable Use rules, order forms, invoices, and any written agreement signed by Barjeel, constitute the agreement between you and Barjeel regarding the Services.
If any provision is invalid or unenforceable, the remaining provisions remain in effect. Barjeel failure to enforce a provision is not a waiver. You may not assign rights or obligations without Barjeel prior written consent. Barjeel may assign or transfer its rights or obligations in connection with a corporate transaction, restructuring, affiliate arrangement, or transfer of business. Provisions intended to survive termination will survive, including ownership, restrictions, disclaimers, limitation of liability, indemnity, confidentiality, payment obligations, governing law, and dispute provisions.
Part IV — Acceptable Use and Intelligence Tools Rules
1. Purpose of Intelligence Features
The Intelligence features are provided to support lawful professional research, corporate due diligence, advisory work, case organization, risk analysis, public-source review, exposure review, relationship mapping, and related legitimate business purposes.
2. Required User Authority
Before running a search or saving a finding, users must ensure they have a lawful basis, professional authorization, client authorization, internal authorization, or other legitimate authority to conduct the search and process the relevant data. Barjeel is entitled to rely on the user representation that each search is lawful and authorized.
3. Prohibited Intelligence Uses
Users must not use Intelligence features for:
- Personal stalking, private spying, harassment, intimidation, doxxing, public shaming, or coercion.
- Targeting people based on protected characteristics or sensitive attributes in a discriminatory or unlawful manner.
- Credential abuse, login attempts, password reuse, account takeover, phishing, social engineering, malware deployment, vulnerability exploitation, or unauthorized access.
- Publishing, selling, transferring, or exposing personal data, credentials, contact information, or database results without lawful authority.
- Unlawful employment screening, unlawful tenant screening, unlawful credit decisions, unlawful insurance decisions, or other regulated eligibility decisions.
- Unlicensed private investigation, unlawful surveillance, unlawful law enforcement activity, or activities requiring government authority that the user does not possess.
- Monitoring or profiling minors except where expressly lawful, necessary, and authorized by a responsible organization with appropriate safeguards.
- Any activity that Barjeel reasonably considers harmful, abusive, unlawful, unsafe, reputationally risky, or inconsistent with the professional purpose of the Services.
4. Handling Exposure and Breach Data
Exposure or breach-related indicators, if available, are provided for defensive, risk-management, due-diligence, and awareness purposes only. Users must not use such data to access accounts, test passwords, identify private accounts without authorization, shame individuals, commit fraud, or facilitate cyber abuse. If a user discovers sensitive exposure affecting a third party, the user should handle it responsibly, minimize disclosure, and follow applicable laws and professional obligations.
5. Source Labels, Confidence, and Verification
Users must preserve source labels, confidence indicators, disclaimers, and contextual notes where the platform provides them. Users must not misrepresent uncertain results as verified facts. When using intelligence results in reports, users should distinguish between verified information, source-reported information, automated matches, database indicators, and analytical inference.
6. Audit and Enforcement
Barjeel may log, review, restrict, or suspend use of Intelligence features for security, abuse prevention, provider compliance, legal compliance, audit, and operational purposes. Barjeel may refuse searches, remove results, restrict exports, disable features, or terminate access where it reasonably believes continued use creates risk or violates these rules.
Part V — Subprocessor and Third-Party Services Notice
Barjeel AI may use third-party providers and related entities to operate the Services. The following categories and examples are provided for transparency. Providers may change over time based on operational needs, availability, security, cost, legal requirements, and product development.

The examples above do not create a guarantee that every provider will always be used, that a provider will always be available, or that no other provider will be used. Barjeel may add, remove, replace, or reconfigure providers as needed.
